Board governance

The Board decides the objectives, strategies, and policies that we will follow.

Role of the Board

The Board and individual Board members ensure that we perform our functions properly, efficiently, and effectively.

The Board receives specific direction from the Minister through our a Statement of Expectations. We respond to this with a Statement of Intent.

The Board also has prescribed duties under the Civil Aviation Act 1988.

The act sets out:

  • establishment and functions of the board, including membership
  • appointment of Board members
  • Board procedures.

The CASA Board Governance Arrangements also helps guide the Board’s actions. The Board, along with senior executives, regularly review and update the governance arrangements. Associated procedures are in place that cover:

  • how the board manages and declares conflicts of interest
  • how and when the board accept and declare gifts and benefits on the gift register.

Board members have no role in CASA’s decision-making processes relating to applications or approvals.

Engagement with industry

The Board regularly engages with industry and actively promotes communication and engagement between us and our stakeholders.

The Board hosts 'meet the Board' events. These allow industry representatives to speak to the Board and CASA staff about issues.

Direct industry engagement also happens and is an important part of the Board's remit.

Board members must declare actual or perceived conflicts of interest. Board members must also declare specific conflicts of interest at each meeting.

Board Sub Committees

Board Audit and Risk Committee (BARC)

The Board Audit and Risk Committee (BARC) is a committee of the CASA Board and was established to provide independent assurance and assist the Board to discharge its responsibilities under the Civil Aviation Act 1988 and the Public Governance, Performance and Accountability Act (PGPA Act).

The key areas covered by the Committee are financial reporting, performance reporting, risk oversight and management, internal control and compliance with relevant laws and policies.

The Committee monitors the delivery of the Internal Audit Program and monitors the completion of high and medium risk audit recommendations as they fall due.

People and Culture Sub-Committee (PCSC)

The People and Culture Sub-Committee (PCSC) is a sub-committee established by the Board to provide independent advice and assurance on all people and culture matters to assist the Board to discharge its relevant responsibilities under the Civil Aviation Act 1988 and other associated legislation. This will include:

  • monitoring the alignment of CASA’s culture and workforce strategies to ensure the outcomes are values driven, strategically aligned, within risk appetite and consistent with community expectations
  • monitoring implementation of management’s response to issues raised by staff in the APS Census and other staff-related surveys
  • monitoring key metrics, dashboards and source information to support an assessment of the overall effectiveness and adequacy of people and workforce strategies, policies and practices relating to the management of CASA’s people and culture.

Related documents

The Industry Complaints Commissioner conducted a review in 2023 into engagement of the Board with industry. The review found that CASA has in place adequate policies and procedures for its Board members.

This led to some changes to strengthen and update the Governance Arrangements.
